Introduction

The LocAite web and mobile applications
The real-time local readiness map
Trust and responsiveness features
Community Relay coordination features
Any related content, communications, or services (collectively, the “Services”)By accessing or using the Services, you agree to these Terms.
If you do not agree, do not use the Services.
1. Contractual Relationship; Termination; Modification
Your access to and use of the Services is also governed by:
Privacy Policy
Trust & Safety Policy
Business Terms (if applicable)
Community Relay Terms (if applicable)
Any additional posted policies
Collectively, these form the “Terms.” Termination LocAite may suspend or terminate access to the Services at any time if: You violate these Terms
You engage in fraud or abuse You misuse readiness or trust signals Required by law
Modification
LocAite may update these Terms. Continued use after updates constitutes acceptance.
2. Arbitration Agreement
If you choose to include arbitration: You and LocAite agree that disputes arising from these Terms will be resolved through binding individual arbitration, not as a class action.
You waive:
Jury trial rights
Participation in class or representative actions
Exceptions may include:
Small claims court
Intellectual property disputes
Injunctive relief
3. The Services
LocAite is a real-time access layer for local life.
The Services enable users to:
View businesses based on real-time readiness
See trust-related indicators
Discover local availability
Coordinate community pickup/delivery (Relay)
Connect with businesses directly
LocAite does NOT:
Own or operate businesses
Guarantee inventory
Guarantee business hours
Guarantee fulfillment
Act as a transportation carrier
Act as a logistics company
Employ businesses or Relay participants
LocAite provides coordination and visibility tools only.
Businesses and Relay participants are independent.
4. Third-Party Businesses, Relay Participants, and Content
Businesses displayed on LocAite are independent entities.
Relay participants are independent individuals.
LocAite does not:
Control business operations
Manage inventory
Direct Relay participants
Guarantee quality, safety, or accuracy
Any dispute between you and a third party is between you and that party.
You release LocAite from liability related to third-party actions to the fullest extent permitted by law.
5. Accessing the Services
You must:
Be 18 or older (unless permitted under minor terms)
Provide accurate information
Maintain account security
Use only one account
LocAite may:
Require identity verification
Disable duplicate accounts
Remove inactive or fraudulent accounts
6. User Conduct
You agree not to:
Manipulate readiness states
Misrepresent availability
Post fraudulent information
Harass users or businesses
Reverse engineer the platform
Use data for unauthorized commercial purposes
If you are a business, you agree that readiness must reflect reality.
If you are a Relay participant, you agree to follow safety rules and applicable laws.
7. Payments (If Applicable)
LocAite may facilitate payments between users and businesses.
Charges may include:
Service fees
Relay coordination fees
Taxes
Cancellation fees
LocAite may collect payments on behalf of businesses as a limited payment agent. All charges are final unless otherwise required by law.
LocAite does not guarantee pricing consistency between the platform and physical stores.
8. Disclaimers; Limitation of Liability; Indemnity
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.
”LOCAITE MAKES NO GUARANTEES REGARDING:
Inventory accuracy
Business availability
Delivery completion
Readiness updates
Trust signal accuracy
Use of the Services is at your own risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LOCAITE SHALL NOT BE LIABLE FOR:
Indirect or consequential damages
Lost profits
Lost data
Personal injury or death
Property damage
LocAite’s total liability shall not exceed the greater of:
The amount paid by you in the past 12 months, or $100
Indemnity
You agree to indemnify and hold LocAite harmless from claims arising from:
Your use of the Services
Your violation of these Terms
Your misuse of readiness or trust features
Your interactions with third parties
9. Other Provisions
Governing Law
These Terms are governed by the laws of the state in which the dispute arises (unless arbitration applies).
Choice of Forum
If arbitration does not apply, disputes shall be resolved in state or federal courts in the applicable jurisdiction.
Severability
If one provision is invalid, the rest remain enforceable.
No Employment Relationship
Nothing in these Terms creates an employment, agency, or partnership relationship between:
LocAite and businesses
LocAite and Relay participants
LocAite and users
LocAite does not transport goods
Relay participants act independently
LocAite does not supervise routes
No employment relationship exists
No guaranteed earnings
No guaranteed delivery
